Terms of Service

These Terms of Service ("Terms") govern your use of the cloud hosting services and website provided by ALLOY, Inc. dba ALLOY Cloud ("ALLOY," "we," "us," or "our"). By accessing or using our services, you agree to be bound by these Terms.

1. Services

ALLOY provides cloud infrastructure services including virtual private servers, dedicated servers, managed hosting, storage, and related services. Service specifications, pricing, and availability are described on our website and may be updated from time to time.

2. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to use our services.

3. Acceptable Use

You agree not to use our services to:

  • Violate any applicable laws or regulations
  • Distribute malware, spam, or engage in phishing
  • Launch denial-of-service attacks or network abuse
  • Host content that infringes intellectual property rights
  • Mine cryptocurrency without prior written authorization
  • Engage in any activity that disrupts or degrades our infrastructure

We reserve the right to suspend or terminate accounts that violate this policy.

4. Billing and Payment

Services are billed according to the pricing plan selected at provisioning. Usage-based charges (compute hours, storage, bandwidth) are metered and billed monthly. Payment is processed via Stripe. Invoices are due upon receipt. Accounts with payments overdue by more than 14 days will receive a suspension warning; accounts overdue by more than 21 days may be suspended.

5. Service Level

We target 99.9% uptime for our infrastructure services, excluding scheduled maintenance windows. Scheduled maintenance will be communicated at least 48 hours in advance when possible. Service credits may be issued for extended outages at our discretion.

6. Data and Backups

You are responsible for maintaining backups of your data. While we implement infrastructure-level redundancy, we are not responsible for data loss resulting from hardware failure, user error, or account termination. We recommend maintaining independent backups of all critical data.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALLOY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU TO ALLOY IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Termination

Either party may terminate services with 30 days written notice. We may terminate immediately for violations of these Terms or our Acceptable Use Policy. Upon termination, you will have 14 days to retrieve your data before it is permanently deleted.

9. Modifications

We may update these Terms from time to time. Material changes will be communicated via email or notice on our website at least 30 days before taking effect. Continued use of our services after changes take effect constitutes acceptance.

10. Governing Law

These Terms are governed by the laws of the State of Idaho, United States. Any disputes shall be resolved in the courts of Ada County, Idaho.
